Introduction

Billexpress Solutions Terms of Use

Using the Billexpress Solutions Platform provided by Us is subject to these terms of use (defined below), which inform you of the terms which apply to access/use, what we expect from you, and how we expect to interact with you.

With the Billexpress Solutions Platform, merchants and businesses can manage payments and collections, banking, accounting, and compliance from a single screen.

  • In accordance with the Information Technology Act, 2000 and its rules as applicable and as amended from time to time, these terms and conditions are electronic records. A computer system generates this electronic record, which does not require a physical or digital signature. These Terms are published in accordance with Rule 3(1)(a) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, framed under the Information Technology Act, 2000 (as amended from time to time), and constitute a legally binding and enforceable contract between Billexpress Solutions and the User. These conditions of service consist of two sections (collectively referred to as "Terms").
  • Part A contains the general terms and conditions governing access to and use of the web link: [mention the url link] and mobile application by the name of 'Billexpress Solutions Money' ("Website" or "Billexpress Solutions Platform", which includes any and all related mini-links and the Services provided thereunder) offered by (Company nae) (also referred to as "Billexpress Solutions", "Company", "We", "Us", and "Our").
  • Part B contains the terms and conditions that regulate the use of each of the Services (as defined below) to the extent that the User (as defined below) avails of such Services. The terms and conditions provided in Part A ("General Terms") must be read and comprehended in conjunction with the terms and conditions specific to the Service provided in Part B ("Service Terms").

We are a technology platform, not a bank, and we do not hold or claim to hold a banking license. Billexpress Solutions offers business current accounts, VISA corporate cards, business loans, and other similar banking and financial services from RBI-licensed banks and financial institutions. Billexpress Solutions-powered business current accounts are insured up to the limits prescribed by the RBI. As per current RBI regulations, all banking/financial services offered on Billexpress Solutions are powered by our partner banks/financial institutions and follow all security standards and legal requirements prescribed by those banks/financial institutions.

General Terms and Conditions

These General Terms apply to the use and/or access of the Website by the User. In addition to these Terms, you should read the following:

  • The Privacy policy, which governs the use of the Website or is provided to the User in any other way or form, is available at Billexpress Solutions.money/privacy/ (“Privacy Policy ”).
  • Server Providers stipulate terms and conditions for the services they offer.

Definitions

The following capitalized words shall have their respective meanings unless otherwise indicated.

  • “A "Admin Verified" Service is one that is approved by the administrator of Billexpress Solutions to use the Service or set of Services based on the information submitted by the User, KYC, risk assessment, as well as the execution of any other controls or protocols necessary to verify and authenticate the User in accordance with applicable laws, including, but not limited to the RBI Guidelines.
  • “Acquiring Bank” means any bank that receives funds sent by the User to the Customer.
  • The term "Bank" refers to any bank or financial institution licensed and regulated by the Reserve Bank of India ("RBI"), with which Billexpress Solutions has partnered to offer the Services. The term "Bank" also includes any sponsor banks with whom Billexpress Solutions has partnered, through software protocols and API integrations.
  • "Business Current Account" or "Payment Account" refers to a bank account linked by the User to the Billexpress Solutions Platform for settlement of proceeds. The Business Current Account can be opened with any bank and linked to the Billexpress Solutions Platform for settlements, or an existing bank account can be linked to the Billexpress Solutions Platform by completing KYC verification. All users of the Business Current Account are subject to the bank's terms and conditions.
  • “Network Rules” refers to any rules, regulations, releases, guidelines, processes, interpretations, or other requirements (whether contractual or otherwise) adopted by the Card Payment Network.
  • As part of the "Confirmation of Delivery", the User confirms that the goods or services have been delivered to the Customer and authorizes Billexpress Solutions to settle the funds collected in the Escrow Account with the User's Business Current Account in accordance with RBI guidelines. User's authorization will remain in full force until it is specifically terminated in writing by User.
  • “Client” refers to any individual or entity that transacts with the User resulting in the transfer of funds.
  • “Escrow Account” refers to the nodal account or escrow account maintained by Billexpress Solutions with the Bank.
  • “KYC, or "Know Your Customer", refers to various norms, orders, rules, regulations, laws, and statutes as per applicable laws, including RBI Guidelines issued from time to time, which require Billexpress Solutions to obtain personal identification information from users wishing to access/use the Billexpress Solutions Platform.
  • “Payment Account”, “Online Business Account”, and “User Account”, refer to the online account Billexpress Solutions that a User has created in accordance with RBI Guidelines.
  • “Payee” refers to anyone who receives a payment, using the Services, including Users who use the Services to receive payments.
  • “Payer” refers to anyone who makes a payment using the Services (and includes Users who use the Services to make payments).
  • “RBI Guidelines” refer to the existing rules, regulations, orders, directions, notifications and guidelines issued by RBI, including but not limited to - the Payment & Settlement Systems Act, 2007, the RBI Directions for Billexpress Solutions and operations of accounts and payments for electronic payment transactions involving intermediaries dated November 24, 2009, as well as March 17, 2009, guidelines for regulating payment aggregators and payment gateways. As amended from time to time, Know Your Customer (KYC) 2020.
  • “Service(s)” refers to and includes the following services provided by Billexpress Solutions to the User :
    • Managing payments and collections online,
    • Payment Gateway,
    • Automated Accounting,
    • Connect multiple accounts,
    • Tax Filing,
    • QR Cards,
    • Visa Co-branded Cards,
    • Business Loans,
    • Also includes any other products/services offered by Us from time to time.
  • “Service Providers” are organizations, associations, facilities, lenders, card issuers, banks, card processors and clearing house networks supporting the provision of services.
  • “Transaction” refers to a payment instruction that results in the successful transfer of funds from a User to a Payee; or from a Payer to a User, as appropriate.
  • "User", "You", "Your" and "Yourself", as the context requires, refer to any natural or legal person (sole proprietor, partnership firm, company, LLPs, trusts, societies or HUFs) who registers on the Platform and/or transacts with or avails of Services. A 'User' is also any employee, officer, director, or employee of the User (including but not limited to current or former officers, directors, or employees) who uses the User Account credentials to access the Billexpress Solutions Platform with either full or limited rights.

Eligibility

In accordance with Section 11 of the Indian Contract Act, 1872, the Billexpress Solutions Platform may be accessed/used only by persons who are legally capable of entering into legally binding contracts.

Registration and Access

Billexpress Solutions Platform and Services can only be accessed and used by users of registered User Accounts. Based on RBI guidelines, you are provided with a User Account in partnership with the banks. Accordingly, You will provide all documents and information required to perform KYC in accordance with RBI Guidelines to the Company and the Service Providers (as applicable). Billexpress Solutions reserves the right to reject your registration at any time and terminate your right to use and access the Billexpress Solutions Platform and/or Services at any time. Billexpress Solutions reserves the right to request self-attested copies of the documents submitted during or after the registration process in order to conduct KYC on the User.

While the Billexpress Solutions Platform allows You to execute transactions, the funds will not be settled to your account if KYC obligations are pending on Your part according to RBI guidelines. We reserve the right to not release the settlement amounts to You if You do not comply with your KYC obligations, as mentioned above, to the satisfaction of Billexpress Solutions, and eventually reverse the funds to the account from which the payment originated if the non-compliance continues.

Your information will be used to create a User Account when you register on Billexpress Solutions. You should keep your User credentials confidential as you will be solely responsible for any actions taken through the User Account. All User Account details provided and/or updated by you must be accurate and complete. Billexpress Solutions should be notified in advance in writing of any change in the User's email address, mobile number, address, or any change in authorization, control, or legal status.

Your username, password, and any other information related to the User Account must be kept secure and confidential at all times in order to prevent unauthorized access. We are not responsible for any mistake or misuse of the User Account either by the User or by anyone gaining access to the Services through the User Account.

Please review these Terms periodically for updates / changes. By continuing to use the Billexpress Solutions Platform following any amendments to these Terms, you agree to be bound by such changes. Users may access and use Billexpress Solutions Platform, provided he or she continues to comply with these Terms.Billexpress Solutions Platform will be used only for lawful business activities and not for any illegal, immoral, or banned activities, or to facilitate furtherance of such activities which constitute a violation of any law or regulation, including but not limited to RBI guidelines.

All funds held in a Business Current Account are held by the relevant bank and shall be governed by its terms. According to Bank records, funds in a Business Current Account are owned by the account-holder, who will be subject to applicable bank charges.

In order to facilitate the Services, the User unconditionally authorizes the website to generate Lightweight Directory Access Protocol (LDAP), the User credentials, and subscribe to the APIs on behalf of the sponsor bank's web portal. In order to facilitate the facilitation of the Services, the User authorises Billexpress Solutions to service their Business Current Account on their behalf in relation to queries and complaints raised by the User and/or third parties, including authorisation to raise queries with the Banks on the user's behalf.

Aadhar Offline e-KYC Verification

Billexpress Solutions Platform offers a variety of KYC options. If you register on the Billexpress Solutions Platform using Aadhar Offline e-KYC, you (the Aadhaar holder) irrevocably agree to :

  • You can obtain Aadhaar information (defined below) by contacting Billexpress Solutions and requesting the following information: Aadhaar Numbers, Aadhaar XMLs, Virtual IDs, E-Aadhaars, Masked Aadhaars, Aadhaar details, demographic information, identity information, Aadhaar registered mobile numbers, face authentication details, and/or biometric information.".
  • In order to authenticate and verify Your Aadhaar Information, you agree to take all necessary steps.
  • To avail of the Aadhaar API services of our company, including, but not limited to, the transmission and storage of Your Aadhaar Information by Billexpress Solutions under applicable laws, rules, regulations and guidelines, you must give a valid, binding, irrevocable and explicit authorisation and consent.
  • We acknowledge and agree that You have provided the Consent voluntarily and without coercion from Billexpress Solutions.
  • It is Your sole and complete responsibility to address any legal suits, damages, losses, fines, penalties or liabilities ("Losses") that may arise from sharing Aadhaar Information and authorizing Billexpress Solutions to retrieve Aadhaar Information, and you agree that Billexpress Solutions, its representatives, employees, and directors will be held harmless for any losses resulting from such actions and requests.
  • Billexpress Solutions doesn't store or retain any Aadhaar Information, including the Aadhaar number belonging to You.

Fees and Taxes

Depending on the Services you have requested or availed and the pricing/subscription plan you have selected on the Billexpress Solutions Platform, you will be charged a fee (“Fee ”). Billexpress Solutions may change any fee or charge or institute, and the User agrees to pay such fees and charges without delay. Billexpress Solutions does not make refunds of Fees other than as agreed in these Terms. If any type of tax or levy is applicable to the Fees, the User is responsible for paying it.

Data, Audit & Security

To prevent high-risk practices and fraudulent transactions, Billexpress Solutions may monitor all Transactions. As part of these efforts, Billexpress Solutions may also engage Service Providers. Any suspicious or unusual activity carried out through the User Account may result in the account being temporarily or permanently suspended.

Billexpress Solutions and (User) certify to each other that: (a) no card information or related data will be stored in its database or any servers it accesses, other than for limited lawful purposes in compliance with RBI Guidelines. In addition to following data security protocols, including incident management and reporting procedures, it will ensure that its systems and infrastructure conform to the Payment Card Industry-Data Security Standard ("PCI-DSS"). Billexpress Solutions further represents and covenants that the User's systems and infrastructure comply with the Payment Application-Data Security Standard ("PA-DSS").

(As part of its sole and absolute discretion, Billexpress Solutions) may conduct inspections, risk assessments, and audits on the User, as well as impose additional conditions/restrictions on the User Account, including, but not limited to: (a) creating a reserve to cover potential Chargebacks (defined below) and related fees; and (b) withholding Services and directing the User to upgrade its infrastructure in compliance with applicable law.

User agrees not to sell, give, exchange, or otherwise disclose to third parties or use themselves (other than to complete a transaction or as permitted by law) any personal information about any third party (whether a Customer or otherwise), including financial details and any personal identification information, without the consent of that third party in writing.

Cookies are used on the Billexpress Solutions Platform. To retrieve User details for each visit, most interactive websites use cookies. Billexpress Solutions Platform uses cookies in some areas to enhance the user experience and enhance functionality. As a user of the Billexpress Solutions Platform, you agree to the use of cookies in accordance with the Privacy Policy. There may also be cookies used by some of the Service Providers.

Content

A User may not use, reproduce, adapt, modify, publish or distribute content created and/or stored in their User Account without express permission from the Website owner. The User grants Billexpress Solutions permission to access, copy, distribute, store, transmit, reformat, or disclose the data /content of the User Account to provide the Services requested/acquired by the User.

By using any of the Services or otherwise, the User may transmit or publish content. The User, however, is solely responsible for such content and the consequences of transmitting or publishing it. Content provided by third parties to the User while using the Services is provided 'AS IS' for the User's information and personal use only. Without the express written consent of the owner of the rights to such content, you agree not to use, copy, reproduce, distribute, transmit, broadcast, display, sell, license, or otherwise exploit such content for any purpose.

Billexpress Solutions is not responsible if information provided on the platform is inaccurate, incomplete, or incorrect. Please use primary, more accurate, more complete or more timely sources of information when making decisions based on the material on the Billexpress Solutions Platform. Users are advised not to rely on any of the material on Billexpress Solutions. Billexpress Solutions may contain historical information. As a result, historical information cannot be considered current and is provided as a reference only for the User. We reserve the right to change the content of the Billexpress Solutions Platform at any time, but we are not required to do so. Users agree to monitor changes to the Billexpress Solutions Platform on their own responsibility.

Third-Party Links

We may refer to or contain links to third-party websites, applications, services, and resources on the Billexpress Solutions Platform, but that does not mean they are endorsed. We provide these links only as a convenience to the User to avail certain services, and the Company makes no representation or warranty of any kind regarding the accuracy, reliability, effectiveness, or correctness of any aspect of any third-party services, so the Company is not responsible for any of the products or services available from third parties. When using third-party services, the User is responsible for reading and understanding the terms and conditions and privacy policies, and the User acknowledges sole responsibility and assumes all risk involved.

Intellectual Property Rights

Billexpress Solutions and its licensors, as applicable, shall be the sole and exclusive owner of all copyrights, patents, trade secrets, trademarks, service marks, trade names, moral rights, and other intellectual property and proprietary rights (“IPR”) in the Billexpress Solutions Platform and Services. It is prohibited to copy, reproduce, distribute, transmit, broadcast, display, sold, licensed, uploaded, or otherwise exploited without the prior written consent of Billexpress Solutions.

Associating with

This Agreement is not intended or construed to constitute a partnership or joint venture between Billexpress Solutions and the User, or impose any obligation on either party to pay the debts or obligations of the other. Your description (whether online or otherwise) of yourself as Billexpress Solutions's agent or representative or any representations you make to any User or any third party or any warranty you give to any User or any third party that may require Billexpress Solutions or Service Provider to undertake or be liable for, whether directly or indirectly, any obligation or responsibility with respect to the User or any third party.

A Confidential Relationship

Any non-public information that the User learns or discovers through the Website or through the Services may not be disclosed or used or benefited by the User. By any action of the User, the non-public information shall remain confidential until it becomes publicly known. If a User is required by a court or other governmental or legal body to disclose any such nonpublic information (or is notified that an order has been sought), Billexpress Solutions will be notified promptly and diligently, and they will cooperate fully with Billexpress Solutions to protect such information as much as possible.

Billexpress Solutions may access, preserve and disclose any of User's information if such information is required for the facilitation of any Services to the User as per User's request, or for the purpose of ensuring compliance with applicable law, or if we believe it is reasonably necessary to (i) respond to claims asserted against it or to comply with legal process, (ii) prevent fraud, risk investigation, User support, product development and debugging, or (iii) protect the rights, property or safety of Billexpress Solutions, its Users or members of the public.

Warranties & Limitations of Liability

As part of processing Transactions, Billexpress Solutions may rely on all electronic communications, orders, or messages sent to Billexpress Solutions via the Service Providers, including and to the extent that these communications are in compliance with the processing mechanism of the Service Providers, applicable laws, and RBI Guidelines. A Billexpress Solutionsis not obligated to verify or inquire further about the identity of the sender or the message integrity of any communications, orders, or messages.

Billexpress Solutions will strive to ensure that access to and availability of the Services remain uninterrupted and error-free. Billexpress Solutions is not liable for disruption of any Services in the event that access to this application is temporarily suspended for repairs, maintenance, or for the introduction of new facilities. Whenever and wherever we deem appropriate, we may determine the timing and content of software updates, which may be automatically downloaded and installed by an application without prior notice.

There is no time limit on the provision of the Services. Billexpress Solutions expressly disclaims all warranties, whether express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose. No warranty is made by Billexpress Solutions that the Services will be uninterrupted, timely, secure, or error-free. All risks arising from the User's access and use of the Website and Services are the User's responsibility, to the maximum extent permitted by law. Each service shall be subject to a separate limitation of liability.

(If the Billexpress Solutions) fails to perform its obligations under these Terms due to force majeure, such as a fire, lightning, explosion, flood, adverse weather conditions, power outages, failures in communication systems, equipment breakdowns, strikes, lockouts or any other event beyond the control of Billexpress Solutions, it will be liable for any breach of these Terms.

Indemnity

User shall keep Billexpress Solutions indemnified from and against all liabilities (including but not limited to liabilities, judgments, damages, losses, claims, costs and expenses) or other loss resulting from any claim, suit, or proceeding brought against Billexpress Solutions by another User/Service Provider/third party due to (i) any breaches, non-performances, non-compliances or inadequate performance by the User; (iii) wilful misconduct or negligence by the User, or his employees, subcontractors and agents in performance of their obligations under these Terms.

Communication Policy

Billexpress Solutions may send User notifications, offers, discounts, and general information via text message or email regarding User's use of the Services, in order to collect feedback regarding User's use of the Services. The User understands that they can deactivate their receipt of non-service related communications through their User Account settings or by sending an email to [mention the email id] and hereby consents to receive such communications. The User acknowledges that the SMS service provided by Billexpress Solutions is a convenience feature and may be subject to error, omission, and/or inaccuracy.

Customer Complaints

We will forward any general complaints against the User regarding the use of Billexpress Solutions Platform to the User's registered email address. Upon receiving the complaint from Billexpress Solutions, the User must respond directly within 36 (thirty six) hours and include a copy of the complaint in its communications. If the User does not respond to the complainant within 36 (thirty six) hours from the date of Billexpress Solutions’s email to the User, We may at our sole discretion opt to disclose the User’s contact information to the complainant for enabling the complainant to take legal action against the User. The User understands that its failure to respond to the forwarded complaint within the 36 (thirty six) hours’ time limit will be construed as the User’s consent to disclosure of the User’s name and contact information by Billexpress Solutions. However, the User acknowledges and agrees that (a) Billexpress Solutions may disclose any information pertaining to the User if it determines in its sole discretion that it is required for the purposes of justice; and (b) Billexpress Solutions may withhold or appropriate any settlements due to the Merchants in order to ensure compliance with applicable laws.

The User and its Customer are solely responsible for the Transaction, and Billexpress Solutions does not provide any guarantees, warranties, or delivery level commitments to the User. A User's use of Billexpress Solutions Platform does not constitute an endorsement by Billexpress Solutions of that User. Billexpress Solutions is not obligated to mediate disputes between Users, Customers, and the payment participants.

Suspension and Termination

(a) If the User violates these Terms; (b) if the User engages in or is suspected of engaging in any unlawful, fraudulent, or abusive activity; (c) if any information provided by the User is inaccurate, out-of-date, or incomplete; or (d) if the User's account is suspended or terminated. If we suspect that the information is inaccurate, not current, or incomplete, or not in accordance with these Terms, Billexpress Solutions reserves the right, without notice, to suspend/terminate such User's access to any or all of the Billexpress Solutions Platform and Services, without prejudice to Billexpress Solutions's right to pursue any other remedy available to it under applicable law.

In the event that Billexpress Solutions identifies any suspicious or unusual activity being conducted by the User on the Billexpress Solutions Platform, Billexpress Solutions may, at its sole option, temporarily or permanently suspend the User's access to the Billexpress Solutions Platform and/or take any such actions necessary to mitigate risk, including but not limited to withholding funds or refunding funds to the source from which such payment originated.

Governing Law, Jurisdiction and Disputes

Without prejudice to the provisions mentioned below, these Terms are subject to the laws of India and any disputes arising out of or in connection with the Terms will be subject to the exclusive jurisdiction of the competent courts in India.

Billexpress Solutions and the User acknowledge and agree that if there is any dispute/claim between them concerning the Terms: (a) To verify the accuracy of such transactions, only Billexpress Solutions transaction logs will be used; (b) such logs will be fully binding as evidence the purposes of adjudicating the said dispute /claim; and (c) In accordance with the Arbitration and Conciliation (Amendment) Act, 1996 and the Rules of the Conciliation and Arbitration Centre, as amended from time to time, the said dispute/claim shall be resolved by binding arbitration, with India as the exclusive seat of arbitration.

Upon determining that any part of these Terms is invalid or unenforceable, including, but not limited to, the warranty disclaimer and liability limitations described herein, the invalid or unenforceable provisions will be superseded by a valid, enforceable provision most closely matching the original provision, and the remainder of the Terms will remain in effect.

Service Terms & Conditions

Users represent and agree that use of the Services mentioned under this Part B is inherently subject to the General Terms governing use of the Billexpress Solutions Platform.

Billexpress Solutions Payment

Billexpress Solutions Pay is used to receive payments for Transactions arising from the User's normal business operations.

By using Billexpress Solutions Pay, the User (a) consents to be bound by these Terms; (b) contracts with Billexpress Solutions; and (c) agrees that these Terms constitute the User's binding obligations with Billexpress Solutions.

Eligibility

You must be a tax resident of India and Admin Verified to use Billexpress Solutions Pay on the Billexpress Solutions Platform to use Billexpress Solutions Pay.

Rights and Obligations

Billexpress Solutions does not charge interest on amounts maintained by Users in Billexpress Solutions Pay.

Billexpress Solutions Pay accounts may be operated by one (one) User at a time.

Billexpress Solutions Pay will be subject to the provisions in these Terms governing Payment Gateway Services (as defined below).

It is the User's responsibility to ensure that funds are received into the Escrow Account in a timely manner and to maintain compliance with the RBI Guidelines at all times in order to be able to access the balance on Billexpress Solutions Pay.

To settle Transaction proceeds in accordance with the RBI Guidelines, the User may link their Business Current Account to their Billexpress Solutions Pay. When Billexpress Solutions Pay is linked, the Transaction amount (minus Fees, as applicable) will be settled to the User's Business Current Account within T+1 days of when the User confirms delivery to Billexpress Solutions. User is solely responsible for providing current and accurate information regarding their Business Current Account linked to the Billexpress Solutions Pay Account.

However, the User acknowledges and agrees that where the Billexpress Solutions has no control over incoming funds or delays therein, the Billexpress Solutions will transfer the funds to the merchant in accordance with RBI guidelines.

It is the User's understanding and unconditional acknowledgement that, even if the User receives payment through Billexpress Solutions Pay, the funds from such transactions will not be settled to the User's Pay / Business Current Account or any other account until KYC obligations have been met by the User in accordance with RBI guidelines. Accordingly, if the User continues to default on KYC obligations, Billexpress Solutions may refrain from releasing settlement amounts to the User and reverse the funds to the source of the payment.

Usage

As a result of the User's authorization, Billexpress Solutions will be able to rely on and act on any instructions provided by the User in respect of its Billexpress Solutions Pay account, and such instructions shall be presumed to be legally binding and duly authorized by the User for Billexpress Solutions's benefit.

Under RBI Guidelines, the User may only access and operate its Billexpress Solutions Pay account for debits and credits.

In any case, Billexpress Solutions may require that any instruction/document be authenticated by the User using any password, identification code or authentication test as specified by Billexpress Solutions from time to time, and the User will be responsible for maintaining the confidentiality of such password, code, or authentication test. In accordance with RBI Guidelines, all payments made by the User will be subject to two-factor authentication.

Users acknowledge that sending electronic communications/instructions to Billexpress Solutions entails inherent risks and agree and confirm that all risks in this regard are their own.

Termination

Billexpress Solutions reserves the right to suspend/discontinue Billexpress Solutions Pay at any time. Based on suspicion or otherwise, this includes:

  • Regulations of the RBI were violated,
  • If any of these terms are violated,
  • The User provided incorrect information and KYC documentation,
  • As a preventive measure against fraud, sabotage, willful destruction, or threats to national security,
  • To meet the ends of justice, Billexpress Solutions may decide to cease/suspend the Billexpress Solutions Pay.

Payment Gateway

If the User continues to comply with these Terms, the Billexpress Solutions Platform will enable the User to accept payments from multiple Customer sources, including credit/debit cards, net-banking, e-wallets, and UPI ("Payment Gateway Services").

Authorization

Payment Gateway Services are integrated with various Service Providers on the Billexpress Solutions Platform so that all payments can be accepted through one solution.

Billexpress Solutions is authorized to hold, receive, disburse and settle funds on behalf of the User, as set out in these Terms. Billexpress Solutions is authorised to generate electronic funds transfers between the payment system providers and Escrow Accounts in order to process each Transaction. It acknowledges that it will be subject to RBI Guidelines if it continues to use Payment Gateway Services. In accordance with the provisions contained herein, the User's authorizations will remain in full force and effect until the User Account is closed or terminated.

All risks, losses, or liabilities associated with delivery undertaken by the User to its Customers are the sole and absolute responsibility of the User. Billexpress Solutions will not be a party to any disputes regarding quality, merchantability, non-delivery, delay in delivery, or otherwise between the User and the Customer.

Card Payment Network Rules

  • The Card Payment Networks have established the necessary infrastructure and procedures for transaction authorization. Users are required to adhere to the Card Payment Network Rules.
  • The Card Payment Network retains the right to modify its guidelines, rules, and regulations. Any amendments will be binding on users immediately and may require us to adjust these terms of use accordingly.
  • Users acknowledge and agree that they assume the responsibility of complying with all provisions of the Card Payment Network Rules, even if they are unaware of or do not have access to these provisions. MasterCard, Visa, and American Express provide excerpts of their rules on their websites.
  • If a user's non-compliance with the Card Payment Network Rules results in fines, penalties, or other charges being imposed on us by a Card Payment Network, the user must promptly reimburse us for the amount levied or demanded, as well as any expenses incurred in relation to these fines and penalties.
  • In the event of a user's failure to fulfill their obligations to the Card Payment Network, we reserve the right to take action, including suspending settlements, suspending or terminating services, or freezing and appropriating incoming funds to the user's account, without prejudice to our other rights under this agreement.

Settlement

  • All transactions processed through the Billexpress Solutions platform will be subject to associated fees as determined by Billexpress Solutions.
  • The availability of funds in the user's Billexpress Solutions Pay account will depend on the receipt of funds into the Escrow Account and the user's consistent compliance with the guidelines set forth by the Reserve Bank of India (RBI).
  • Users can link their Business Current Account with their Billexpress Solutions Pay account after satisfying the Know Your Customer (KYC) requirements. When the user confirms delivery of their service or product to Billexpress Solutions, Billexpress Solutions Pay will transfer the transaction amount (minus applicable fees) to their Business Current Account. It is the users' responsibility to ensure that their linked Business Current Account details are accurate. In compliance with RBI guidelines, Billexpress Solutions will transfer funds to the merchant based on incoming funds.
  • At its sole discretion, Billexpress Solutions may offer early settlement services for user receivables to either the Billexpress Solutions Pay account or Business Current Account, with additional fees as communicated in writing to the user.
  • Users should know that even if they are unable to receive payments using Billexpress Solutions Pay, funds from such transactions will only be transferred to their Billexpress Solutions Pay, Business Current Account, or any other account once they have completed their KYC requirements. Failure to fulfill these KYC obligations may result in Billexpress Solutions withholding settlement amounts and potentially reversing funds to the source of payment origin at the sole discretion of Billexpress Solutions.

Payment Gateway Services may not be used for any of the following businesses, business activities, or business practices :

  • Governments or embassies of other countries,
  • Salespersons who go door-to-door,
  • Offering substantial rebates or incentives after the original purchase,
  • Intent to spam with negative response marketing,
  • Engaging in deceptive marketing,
  • Avoiding chargeback monitoring by card networks,
  • Aggregation or factoring, licensed or unlicensed,
  • Services or products restricted to certain ages,
  • Indemnity bonds,
  • Legal representation in bankruptcy cases,
  • Auctions with a bid fee,
  • A collection agency, chain letters,
  • Products that are false or unauthorized (e.g. counterfeits, imitations, bootlegs),
  • No-money-down businesses, investment opportunities, mortgage counseling, credit repair, or credit protection,
  • Theft protection for credit cards and identities,
  • Cruise lines, Essay mills,
  • Firms/individuals operating from a booth on a part-time basis without a lease or telephone (indoors or outdoors),
  • Paraphernalia related to drugs,
  • Unsubstantiated cures and remedies marketed as quick health remedies,
  • Aids for circumventing drug tests,
  • Warranty extensions,
  • A fortune teller, "Quick-rich" schemes,
  • Gambling (including lotteries, internet gaming, contests, sweepstakes, and prizes offered to entice people to purchase goods or services),
  • Making sports predictions or odds,
  • A product or service that is illegal,
  • Brides ordered online,
  • Businesses related to marijuana dispensaries,
  • Unregulated/unlicensed money transmitters,
  • Pyramid schemes or multi-level marketing,
  • Pharmacy referral services, whether online, by mail, or by telephone,
  • Phone cards, phone services, or cell phones,
  • False pharmaceuticals,
  • Almost cash or stored value,
  • Brokers of securities,
  • A product or service that focuses on sexual activities or is pornographic in nature, or an escort service,
  • Shippers and forwarders,
  • Drugs that mimic illegal drugs,
  • A telemarketing campaign,
  • Buying a timeshare,
  • Orders for tobacco or e-cigarettes via the Internet, mail, or telephone,
  • Ammunition and weapons,
  • Materials used in hacking and cracking,
  • Identity cards that are fake,
  • Species at risk, Products containing alcohol, Trafficking in organs,
  • Devices that decrypt cable signals,
  • Devices for unlocking copyrights,
  • An offensive product is one that: (a) defames or slander someone or a group of people based on race, ethnicity, nationality, religion, sex, or any other factor; (b) encourages or incites violent acts; and/or c promotes intolerance or hatred,
  • A wide range of traffic devices, such as radar detectors and jammers, license plate covers, and traffic signal changers, are available,
  • Animal parts, hides, skins, teeth, nails, or other parts illegally traded,
  • A trust/NGO aggregator,
  • A trade in prescription or herbal drugs without a prescription from a recognized and licensed healthcare provider,
  • Fireworks, toxic, flammable, and radioactive materials; pyrotechnic devices and hazardous materials,
  • Several regulated goods are unregulated/unlicensed, including air bags, batteries with mercury, Freon or similar substances/refrigerants, chemical/industrial solvents, government uniforms, license plates, car titles, police badges, lockpicking devices, pesticides, postage meters, recalled items, slot machines, surveillance equipment, goods regulated by government,
  • Exchanges of wholesale currencies, including crypto currencies,
  • crowdfunding platforms, Corporations of Nidhi, Clubs for friendship, Service at a spa,
  • Virtual currency, NFTS, and crypto currency that can be converted into fiat currency, physical goods, or services,
  • Retribution, harassment, humiliation, intimidation, or abuse-promoting products or services,
  • A product or service that does not comply with all applicable laws and regulations, whether federal, state, local or international.

Transaction Dispute

The User acknowledges that transactions conducted through the Card Payment Networks can be subject to dispute within a period of 180 (one hundred eighty) days from the date of the transaction, in accordance with the rules of the Card Payment Network. Resolutions in favor of the Customer may lead to payment reversals for the Customer, referred to as "Chargebacks." If there are rejections or suspensions of payments to the User, occurrences of Chargebacks, refunds, or any other disputes related to the Transactions outlined in these Terms (referred to as "Transaction Disputes"), Billexpress Solutions will promptly inform the User.

Upon receiving such notification, the User is required to perform an internal review of the matter. Within the time frame specified by Billexpress Solutions in the notification, the User must respond in writing to Billexpress Solutions by either :

  • requesting a refund of the payment received by the Customer in respect of the Transaction Dispute ("Refund Request"), or
  • Assuring Us that the Disputed Transaction is not warranted and providing all documentary evidence in support of such dispute.

If a user submits a request for a refund to us or does not dispute a transaction within the specified timeframe as determined by Billexpress Solutions, or disputes a transaction without providing satisfactory supporting documentation to Billexpress Solutions, the Service Provider, Card Payment Network, or issuing Bank, Billexpress Solutions reserves the right to recover the refund amount from future settlements made to the user's account. The user is responsible for promptly repaying any refund amount or portion thereof that has not been returned to Billexpress Solutions.

Both parties agree and acknowledge that Billexpress Solutions will not refund, compensate, or reimburse any fees charged in connection with the transaction dispute to the user, customer, or any other party. Additionally, any chargeback will be processed within one week of the transaction, and the maximum amount payable by us to the customer in a chargeback will be limited to the value of the transaction itself.

AUTOMATED ACCOUNTING AND TAX FILING; MULTI-ACCOUNT CONNECT

Scope

User can track customer payments and statements across various banks from a single dashboard ("Multi-Account Connect"), and record-keeping records and reports can be generated automatically ("Automated Accounting").The role of Billexpress Solutions for these purposes is limited to providing You with the Billexpress Solutions Platform.

(According to the Electronic Furnishing of Return of Income Scheme, 2007 and the Goods and Services Tax Act, 2017, Billexpress Solutions) has partnered with authorised ERI and Application Service Providers (ASP) and may soon offer ERI Services and ASP Services.

"ERI Services" encompass various activities, including :

  • Facilitating income return filing and related tasks, such as adding you as a client on the Income Tax Department's web portal to submit your income return ("ITR") and retrieve information like ITR-V, refund status, and 26AS.
  • Streamlining the process of ITR filing by automatically recognizing data from the Form-16 you upload.
  • Providing the option for manual ITR filing, allowing you to input the necessary information into the ITR.

"ASP Services," on the other hand, involve the conversion of the User's raw sales and purchase data into GST returns ("GSTR"). These GSTRs are subsequently filed on the filer's behalf with the Goods and Services Tax Network (GSTN) through the services of a GST Suvidha Provider. By availing of ERI Services and ASP Services through the Billexpress Solutions Platform, the User agrees to adhere to the terms set forth by Billexpress Solutions and its Service Providers, which may be updated periodically. It's important to note that the provision of ERI services via the Billexpress Solutions Platform and the display of information received from the Service Provider do not constitute any form of recommendation, advice, opinion, or service provided by Billexpress Solutions.

Exclusion of Liability

Billexpress Solutions shall not be liable for any unauthorized or incorrect instructions executed by the User or concerned Service Provider that result in wrongful amounts being debited or credited to the User. As a result, Billexpress Solutions expressly disclaims any and all direct and indirect liability.

Frauds And Technology Risks On The Internet

Internet users may be subject to frauds, misuses, or hacking, which may hamper their ability to use these services. Billexpress Solutions aims to provide security to prevent such frauds and hacks, but it cannot guarantee complete protection from these acts, which could affect the use and enjoyment of these Services. Sometimes, the Services might require maintenance and the Users' requests might be unable to be processed during that time. In this case, instructions may be delayed or fail to be processed. User acknowledges and understands that Billexpress Solutions disclaims responsibility for any failure or inability to honor Customer instructions.

Collection of User Data

User details will be used to collect the information needed to perform these Services ("Data"). Unless the User provides true, accurate, current, and complete Data, the output of this Data will tend to be false, inaccurate, redundant, or incomplete.

Data Use by Users

Using the collected information, we can personalize the User's experience and tailor our responses to meet the User's specific requirements. Based on the information, their exact requirements, and feedback, we can improve the Billexpress Solutions Platform and/or application to meet the User's needs.

Consent Request

When a User chooses to avail the Services, he or she consents to the collection and subsequent use of Data.

Malicious Behaviour

Billexpress Solutions Platform shall not allow parties and/or entities that steal data, secretly monitor or harm Users, or are otherwise malicious. As a result, the following are expressly prohibited :

  • Malware, trojan horses, viruses or any other malicious software.
  • Apps/websites that facilitate the distribution or installation of malicious software.
  • Vulnerabilities introduced or exploited by apps/websites.
  • Stealing or mimicking other apps or websites in order to trick Users into disclosing their authentication details.
  • Apps/websites that install other apps without the user's consent.
  • Viruses, apps and websites that collect device usage secretly.

QR CODES

  • Billexpress Solutions provides users with a single, versatile QR code that facilitates payments through various third-party UPI apps and net banking services. Upon receiving this QR code, the user is required to link it to their account. By doing so, the user grants Billexpress Solutions unconditional authorization to manage funds on their behalf, including receiving and disbursing payments initiated by customers into the Escrow Account for transaction processing.
  • The user must recognize that the generated QR code is unique to them and must be kept secure at all times. Billexpress Solutions bears no responsibility for any misuse, whether intentional or negligent, of the QR code by the user or their representatives. Additionally, when using QR codes to collect payments in Billexpress Solutions Pay, the user must adhere to the terms governing Billexpress Solutions Pay, encompassing settlement timelines and associated fees. Violation of these terms may result in Billexpress Solutions suspending settlements into Billexpress Solutions Pay or the user's Business Current Account or opting for other equitable remedies, including the termination of the agreement. Furthermore, the user commits to delivering goods or services to their customers either before or promptly upon receiving payment through the QR code, ensuring a seamless transaction process.

BILLEXPRESS SOLUTIONS CREDIT

The terms and conditions hosted on the URL: [Mention the URL link] Billexpress Solutions credit (“Billexpress Solutions Credit Terms”) shall govern the credit and business loans facilities offered on the Billexpress Solutions Platform as part of the Services by Billexpress Solutions’s partners banks/financial institutions regulated by RBI. As a condition of using Billexpress Solutions Credit, the User agrees to be bound by the Billexpress Solutions Credit Terms and the Privacy Policy.

BILLEXPRESS SOLUTIONS HUB

This agreement governs the marketplace offered on the Billexpress Solutions Platform as part of the Services (hereinafter referred to as "Billexpress Solutions Hub"). When using Billexpress Solutions Hub, the User agrees to be bound by the Billexpress Solutions Hub Terms, which should be read in conjunction with these Terms.

CORPORATE CARDS

A “Corporate Card” is a co-branded credit card, virtual card, debit card, or prepaid card issued by a financial institution or partner bank (“Issuing Bank”) on behalf of Billexpress Solutions, for the purpose of paying for the expenses of a registered User of Billexpress Solutions Platform. The Corporate Card will carry the branding of Billexpress Solutions and will be provided to Users at the sole discretion of Billexpress Solutions. By requesting for and/or proceeding to use the Corporate Card, the User signifies its consent to be bound by these Terms.

General Terms

Users who avail of or use Corporate Cards represent that they :

  • The Corporate Card shall be utilized by the User strictly in compliance with the RBI Guidelines and the terms and conditions stipulated by the Issuing Bank at all times.
  • A User's use of the Corporate Card shall not violate any applicable laws or regulations, and he/she must meet all the eligibility criteria under the General Terms.
  • It is the User's responsibility to ensure that the Corporate Card is assigned to one or more authorized employees or personnel at its own risk and expense.
  • The User agrees to provide truthful, complete and accurate registration information and to maintain accurate, complete and up-to-date account information.
  • We will only use the Corporate Card or its content for business purposes. The User agrees to adhere to all terms governing use of Billexpress Solutions Pay and the Business Current Account by using the Corporate Card.
  • If you use the Corporate Card to pay, you assume that you are responsible for any transaction that takes place, regardless of whether your authorized personnel initiated it.
  • Transactions initiated using the Corporate Card are routed through Banks, Card Payment Networks, and other Service Providers. Billexpress Solutions disclaims any and all liability for errors caused by failures in the systems or networks of the applicable bank or credit card company.
  • Corporate Card products, services, and rewards may not be available in all geographic areas, nor may it be eligible for all of Billexpress Solutions's rewards and products. Any product, service, and reward offered in connection with the Corporate Card will be subject to the discretion of Billexpress Solutions.

Fees and Charges

The Issuing Bank will communicate to the User from time to time any fees, interest, or other charges applicable to the Corporate Card. Billexpress Solutions will communicate the fees for the Corporate Card to the User on the Billexpress Solutions Platform.Billexpress Solutions is hereby granted the right to create a lien on any amounts accruing or already accrued to the User, set off or appropriate them to meet interest and any other charges if there is any outstanding, due and payable amount for a period of 30 (thirty) days or more on the Corporate Card. In the event of the above, Billexpress Solutions reserves the right to charge the User additional fees.

Limits & Statement

There are several factors that will affect the cash use and withdrawal limits of the Corporate Card, including: (a) the loading of balances on the Corporate Card; (b) the credit assessment of the User, as applicable; (c) the maximum withdrawal/purchase limits; and (d) the terms stipulated by the Issuing Bank. If the Corporate Card has been used during the month, the Issuing Bank will send the User a monthly statement showing payments, transactions, and charges. Billexpress Solutions may, at its discretion, provide a recent transaction statement for the Card on the User's account on the Website. A billing dispute must be reported to the Issuing Bank as soon as possible. A billing dispute will be investigated and confirmed by the Issuing Bank.

Refunds

User Account information includes correct details for the payment of your credit card bill and all charges resulting from those payments. No payment shall be made for an incorrect credit card account or bill payment number. The User may notify Billexpress Solutions regarding the lack of payment/service within 72 working hours of the completion of the Transaction if money has been charged to the Corporate Card, Billexpress Solutions Pay, or Business Current Account. According to our internal grievance policy, we will refund you the money if we find that money was charged without delivery of the payment/service. Refunds will be credited to the source. Billexpress Solutions will determine the mode of reversal from the above options. However, Billexpress Solutions disclaims any and all liability, including for refunds, in the event of an error caused by a network failure.

Billexpress Solutions reserves the right to automatically initiate a refund if a Transaction has been made in error and credited to your Corporate Card. As a result of your agreement to these terms, the Acquiring Bank will initiate a refund to rectify any incorrect transaction made to your advantage at the request of Billexpress Solutions. Billexpress Solutions will inform you as soon as the Transaction has been processed and the corrective action taken by Billexpress Solutions in order to refund the payment.

Suspicious Activity

Billexpress Solutions reserves the right to suspend or delete your account on the Website platform if Billexpress Solutions believes you have violated any of the conditions stated hereunder. For any queries or questions arising due to the aforesaid suspension/ deletion, the User may contact the Billexpress Solutions's support team.

Termination

Billexpress Solutions and the Issuing Bank may terminate the Corporate Card relationship at any time with prior written notice.

Billexpress Solutions as well as the Issuing Bank may also cancel the use of the Corporate Card at any time without prior notice, if Billexpress Solutions or the Issuing Bank (as the case maybe) considers it necessary for business or security reasons, Among these items are improper use of corporate cards, misleading or incorrect information provided with applications, and failure to provide information or documents as required by relevant laws and regulations (including identification documents), as may be required under the issuing bank's policies, RBI Guidelines, or if the User is involved in any civil litigation or criminal proceeding involving a statutory body or court of law.

Loss, Theft or Misuse

A User should contact the Bank immediately if they lose, steal, misplace, or if someone else knows the Corporate Card PIN or other security information. Report the theft of the Corporate Card(s) to the Police and file a police report. After informing the Issuing Bank of the loss, the User will not be liable for misuse of the Corporate Card, unless the User acted with gross negligence. A User will be solely responsible for any losses arising from misuse of the Corporate Card before informing the Issuing Bank about the loss.

Disclosure

By proceeding to use the Corporate Card as a credit card, the User understands, covenants and confirms that it authorizes Billexpress Solutions to share any information related to the Corporate Card and User Account with the Issuing Bank and any other Service Provider: (i) to enhance the User's experience with the Service; or (ii) to check their credit worthiness.

As a result of the association between the Issuing Bank and Credit Information Companies ("CICs") authorized by the RBI, the User understands, covenants, and confirms that credit information including, but not limited to, the current balance, loans and EMIs associated with the Corporate Card (if any) will be shared with the CIC. It also includes demographic information in accordance with the 2005 Credit Information Companies (Regulation Act). There is no opinion, indication or comment from the CICs regarding whether or not credit should be granted. In order to maintain a good credit history, the User should pay the necessary dues on time. A default on the Corporate Card could affect the User's creditworthiness, which will be shared with CICs.

(Issuing Bank) and Billexpress Solutions reserve the right to provide any information relating to the Corporate Card account to a court of law or enforcement agency.

BILLEXPRESS SOLUTIONS STORE

Billexpress Solutions offers its users an online software-as-a-service model for e-commerce solutions on the Billexpress Solutions Platform ("Billexpress Solutions Store"). Using the Billexpress Solutions Platform, for example, we provide an online shopping cart that can be integrated with the User's website or social media presence. Access and use of Billexpress Solutions Store are governed by the terms and conditions available at the URL:[mention the URL link] Billexpress Solutions store. As a condition of using Billexpress Solutions Store, the User agrees to be bound by Billexpress Solutions Store Terms, which shall be read in conjunction with these Terms.

BILLEXPRESS SOLUTIONS CLASS

Using the Billexpress Solutions Platform, Billexpress Solutions Users can offer students e-learning and digital classroom solutions ("Billexpress Solutions Class"). All access and usage of the Billexpress Solutions Class and services thereunder are governed by the terms and conditions located at the URL: [mention the URL link]-Billexpress Solutions class. The User agrees to be bound by the Billexpress Solutions Class Terms, which shall be read along with these Terms at all times when using Billexpress Solutions Class.

BILLEXPRESS SOLUTIONS PAYROLL

Billexpress Solutions provides payroll management solutions on the Billexpress Solutions platform ("Billexpress Solutions Payroll"). As a condition of using Billexpress Solutions Payroll, the User agrees to be bound by the Billexpress Solutions Payroll Terms as well as these Terms.
